5. Work Product and intellectual property
5.1 Nature of engagement. You perform Tasks for the Company as an independent contractor. Work Product is created in the course of providing services to the Company. Fees under Section 6 are consideration for the services you perform and not payments for the use of, or the right to use, any copyright or other intellectual property.
5.2 Work made for hire; assignment. To the fullest extent permitted by applicable law, each Deliverable is a "work made for hire" for the Company. To the extent any Work Product does not qualify as a work made for hire, you hereby irrevocably assign, transfer, and convey to the Company, upon creation, all worldwide right, title, and interest in and to the Work Product, including all intellectual property rights, for the full term of those rights and all renewals and extensions, together with the right to sue for past infringement.
5.3 Non-assignable rights; moral rights. If any right in the Work Product cannot be assigned under applicable law, you unconditionally and irrevocably waive the enforcement of that right and all claims against the Company, its Customers, and their successors and licensees in respect of it, and grant the Company an exclusive, perpetual, irrevocable, worldwide, transferable, sublicensable, fully paid-up licence to exercise that right. To the extent permitted by law, you irrevocably waive, and agree not to assert, all moral rights in the Work Product.
5.4 Further assurance. You will sign any document and do anything the Company reasonably requests to confirm, perfect, or register the assignment in this Section, at the Company's cost.
5.5 Rejected Deliverables. Where a Deliverable is rejected under Section 6 and no fee is paid, the Company will not include that Deliverable in any Project dataset. The assignment in 5.2 remains effective solely to allow the Company to store, review, and delete the Deliverable and to enforce Sections 4, 7, and 8.
5.6 Service Data. The Company owns all right, title, and interest in and to data generated by the operation of the Platform, including review outcomes, quality metrics, and usage data, and may use it to operate, analyse, and improve the Platform.
5.7 Warranties. You warrant that each Deliverable is your own original work captured or created by you personally, that you have the right to make the assignment in this Section, that the Deliverable does not infringe any third-party right, and that you have obtained any consents required under Section 4.
5.8 Project Agreements. A Project Agreement may add obligations or specify Task requirements but may not replace the assignment in this Section with a licence.
6. Review, acceptance, payment, and taxes
6.1 Review. Deliverables are subject to a two-tier review. Tier 1 reviews technical validity and may edit Deliverables to remove extraneous content. Tier 2 reviews dataset-level integrity. A Deliverable is "accepted" only when both tiers pass and the Operations lead approves the payment batch.
6.2 Fees. Fees are calculated on the accepted duration or quantity after editing, not the submitted duration or quantity, at the rate stated in the applicable Project Agreement. Fees are consideration for the services you perform in completing Tasks.
6.3 Currency and method. Fees are stated and paid in United States dollars or, where required by the applicable third-party payment processor, another currency. You must maintain a payment method approved by the Company. The Company is not responsible for processor fees, currency conversion costs, or foreign exchange fluctuation between your local currency and the United States dollar. Accepted fees are transferred to the payment processor within 30 days of the approval of the payment batch.
6.4 Independent contractor. You provide the services as an independent contractor and not as an employee, worker, agent, or representative of the Company or any Customer. Nothing in these Terms creates any employment, agency, joint venture, or partnership relationship. You are not entitled to any employee benefit, you bear your own costs and equipment, and you are free to provide services to others.
6.5 Location of services. You represent that you perform all Tasks at a location outside Singapore and that you are not a tax resident of Singapore. You must notify the Company before performing any Task if this changes. The Company may verify your location and may decline, suspend, or reverse payment for Tasks performed in Singapore or through location spoofing.
6.6 Taxes. You are fully liable for the calculation, deduction, payment, and reporting of all income, social security, and other taxes and contributions arising from fees paid to you under these Terms in any jurisdiction, and for any registration or filing required of you. The Company will not deduct from any payment to you any amount for income tax withholding, social contributions, or other taxes, except as required by law. If the Company is required by law to withhold or deduct any amount, it may do so and will pay you the net amount; the Company bears no liability for such deductions and will provide a statement of the amount withheld on request.
6.7 Tax information. You must provide accurate tax residency and location information on registration and keep it current. The Company may withhold payment until this information is complete.
6.8 Withholding for breach. The Company may withhold or reverse payment for Deliverables that breach these Terms or the applicable Project Agreement, in accordance with Section 7.
7. Fraud and enforcement
Submission of non-original, duplicated, or fraudulent Work Product, Tasks performed in Singapore, and the use of VPNs, proxies, or location spoofing each constitute a material breach of these Terms. TaskAlpha Pte Ltd. operates a three-strike enforcement policy: (1) first breach — formal written warning; (2) second breach — suspension from the Project; (3) third breach — account termination and non-payment for all flagged Deliverables. TaskAlpha Pte Ltd. reserves the right to skip to termination for serious breaches.
8. Prohibited conduct
- Uploading content you did not personally capture.
- Submitting duplicate content across sessions or accounts.
- Filming identifiable persons without their written consent.
- Filming children under any circumstances.
- Circumventing the qualification or review process.
- Creating multiple accounts to increase submission volume.
- Interfering with Platform operations or other Contributors.
9. Limitation of liability
To the maximum extent permitted by applicable law, TaskAlpha Pte Ltd. is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability in connection with any claim arising from these Terms shall not exceed the amount paid to you in the three months preceding the event giving rise to the claim.
10. Termination
Either party may terminate the contributor relationship at any time. TaskAlpha Pte Ltd. may immediately suspend or terminate your account for breach of these Terms, fraud, or conduct prejudicial to the integrity of any Project. Upon termination, you retain no right to access the Platform and all outstanding payment obligations are subject to review.
11. Governing law and disputes
These Terms are governed by the laws of Singapore. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore, except where mandatory local consumer law provides otherwise.
12. Changes to these Terms
We may update these Terms at any time. Material changes will be notified by email at least 14 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance. Where a Project agreement conflicts with these Terms, the Project agreement prevails for that Project.
